Welcome to Corvitae Health. Please read these Terms of Service (“Terms”) carefully before accessing or using the services provided by Corvitae Health, LLC (“Corvitae,” “we,” “us,” or “our”) through our website located at corvitae.health, including any member portals, communication applications, or related digital platforms (collectively, the “Site”), as well as the specialized retainer-based services coordinated through our platform.

By clicking "I Agree," submitting a Membership Application, or accessing the Site and Services, you agree to be bound by these Terms, our Privacy Policy, and our HIPAA Notice of Privacy Practices. If you are entering into this agreement on behalf of a parent, dependent, or loved one, you represent and warrant that you have the legal authority (such as a Medical Power of Attorney or legal guardianship) to bind that individual to these Terms.

  1. THE SERVICES AND CLINICAL STRUCTURE

    Corvitae Health, LLC provides technology, logistical, administrative, and management services to independent, physician-owned professional medical groups (collectively, the “Medical Groups”). The clinical services, remote biometric tracking, specialist pods, and physician oversight are delivered exclusively by the licensed clinicians engaged by these Medical Groups (including Dr. Jaffe and associated specialists).

    Corvitae Health, LLC itself does not practice medicine, prescribe medications, or deliver direct clinical care. It acts solely as the administrative platform that enables your direct relationship with your dedicated clinical care pod.


  2. ABSOLUTELY NO EMERGENCY SERVICES (CRITICAL DISCLAIMER)
    THE SITE AND OUR SERVICES ARE NOT APPROPRIATE FOR EMERGENCY OR LIFE-THREATENING CRISES. IF YOU BELIEVE THE PATIENT IS EXPERIENCING A MEDICAL EMERGENCY—INCLUDING BUT NOT LIMITED TO CRUSHING CHEST PAIN, ACUTE AND SEVERE SHORTNESS OF BREATH, LOSS OF CONSCIOUSNESS, OR SUDDEN WEAKNESS—YOU MUST CALL 911 IMMEDIATELY OR PROCEED TO THE NEAREST EMERGENCY ROOM.

    Corvitae Health provides continuous, proactive surveillance and advanced medication optimization for stable chronic conditions. Neither our SMS communication channels, portal messages, nor virtual consultations are instantaneous emergency response systems.


  3. INSURANCE AND MEDICARE ACKNOWLEDGMENT
    Corvitae and its associated Medical Groups operate as a private, direct-to-consumer concierge retainer service and do not participate in any commercial health insurance networks, nor do we bill Medicare for the retainer fee. You acknowledge and agree that you will bear sole financial responsibility for the monthly membership fee.

    You agree not to submit any bill, invoice, or claim for reimbursement of the Corvitae Membership Fee to any commercial insurer, health plan, or governmental entity (including Medicare or Medicaid).


  4. ELECTRONIC COMMUNICATIONS AND PHI
    To deliver daily specialist vigilance, our care pods utilize electronic communications, including text messaging (SMS), email, video consultations, and digital portal dashboards.

    Inherent Risks: While Corvitae utilizes heavily encrypted, HIPAA-compliant backend databases and communication protocols (such as secure Jotform and professional portal suites), you acknowledge that standard SMS text messaging and standard email can be intercepted by third parties.

    Consent: By utilizing our messaging features, you expressly consent to our clinical and administrative teams communicating Protected Health Information (PHI) via these channels to ensure rapid, direct care delivery.


  5. EQUIPMENT AND BIOMETRIC READINGS
    As part of your onboarding, Corvitae coordinates the deployment of integrated cellular biometric hardware (e.g., scale and blood pressure cuff).

    Ownership: The hardware remains the property of Corvitae Health or its partners and is provided for the exclusive use of the enrolled member during active membership.

    Compliance: To ensure accurate clinical surveillance, the member agrees to use the biometric hardware in accordance with the training protocols provided during initial virtual intake. Corvitae is not liable for delayed clinical adjustments resulting from a user’s failure to transmit daily readings or technical internet/cellular carrier outrages beyond our control.


  6. TERM AND TERMINATION
    By the Member: You may terminate your membership agreement at any time upon thirty (30) days’ written notice sent to billing@corvitae.health. Because clinical pods are strictly limited, fees paid for the active billing month are non-refundable.

    By Corvitae: To ensure patient safety and maintain clinical integrity, the Medical Groups and Corvitae retain absolute professional discretion to terminate this agreement upon thirty (30) days' written notice if they determine the patient’s clinical acuity requires a level of physical, in-person hospitalization or institutionalized care that exceeds the safe boundaries of a virtual protocol, or for non-payment of fees.


  7. LIMITATION OF LIABILITY
    To the maximum extent permitted by applicable law, neither Corvitae Health, LLC, its affiliated Medical Groups, nor their respective clinicians, officers, or directors shall be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site, platform failures, or delayed data transmissions. Our total liability to you for any claims arising from this agreement shall not exceed the total amount of membership fees paid by you to Corvitae during the three (3) months preceding the event giving rise to liability.


  8. BINDING ARBITRATION AND GOVERNING LAW
    Any dispute, controversy, or claim arising out of or relating to these Terms, your membership, or your relationship with Corvitae Health, LLC shall be settled by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. You expressly waive your right to a trial by jury or to participate in a class-action lawsuit. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
